These Terms & Conditions ("Terms") govern the use of services provided by Original Ventures Ltd (Company number 17322169), a private limited company registered in England and Wales ("we", "us", "our", or the "Company"). By engaging our services or using our website, you agree to be bound by these Terms.

"Client" means any individual or business that purchases or engages our services. "Services" means website development, AI-assisted creative content, business automation, booking system setup, digital platform development and any related services described on our website. "Platform" means any digital product developed or operated by the Company.

We provide digital services including but not limited to website development, AI creative content production, business automation, consulting and digital platform development, as described on our Services page. Specific deliverables, timelines and pricing for each engagement are agreed with the Client in writing before work begins.

Our services are intended for businesses and individuals acting in a professional or business capacity. By engaging our services, you confirm that you have the legal authority to enter into this agreement on behalf of yourself or your business.

Clients are responsible for providing accurate information, timely feedback, and any content, assets or access required for us to deliver the agreed services. Delays caused by incomplete or late information may affect delivery timelines.

Prices for our services are set out on our Services page or in an individual quote. Payment is due as agreed at the point of order or milestone, via the payment methods made available to the Client. Work will not commence, or will be paused, until agreed payments are received.

Refunds and cancellations are handled in accordance with our Refund Policy and Cancellation Policy.

Unless otherwise agreed in writing, ownership of final deliverables transfers to the Client upon full payment. The Company retains the right to use underlying tools, frameworks, templates and non-client-specific components, and may display completed work in its portfolio unless the Client requests otherwise.

Some services rely on third-party platforms, hosting providers, payment processors or AI tools. We are not responsible for outages, policy changes or limitations imposed by third-party providers outside our control.

While we aim to deliver services and maintain any platforms we operate to a high standard, we do not guarantee uninterrupted availability and reserve the right to carry out maintenance, updates or improvements from time to time.

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental or consequential loss arising from the use of our services or platforms. Our total liability in connection with any engagement is limited to the amount paid by the Client for the relevant service.

The Client agrees to indemnify the Company against any claims, losses or damages arising from the Client's misuse of the services, breach of these Terms, or provision of inaccurate or unlawful content or instructions.

Either party may terminate an engagement in accordance with the terms agreed at order, or with reasonable written notice where no specific term applies. Fees for work already completed remain payable.

These Terms are governed by the laws of England and Wales, and any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
